Security Watch for Acquisitions and Transactions

Day-to-day activities already stretch the security staff of most organizations to the limit and render them unable to quickly and adequately evaluate the security of the networks and physical sites typically introduced en masse by a merger. Digital Defense's SWAT™ service is invaluable to an acquirer as it addresses this security evaluation burden and allows staff to remain focused on key business functions. Ultimately, the service helps make for a sound acquisition and limits the exposure presented by integrating the target organization's networks and physical infrastructure with that of the acquirer's.

We developed the SWAT program to enable any organization to test the information system and physical infrastructure security of an acquisition target as part of the due diligence process. SWAT empowers the acquirer to quickly identify material information security weaknesses associated with the acquisition target before the merger, thereby reducing the risk and cost of unexpected degradation in the acquirer's overall information security posture post-merger. While the security of the acquirer's systems and networks is paramount, it is equally important for an acquirer to factor in the cost of potential information security remediation efforts when negotiating the price it will pay for the target company.

The services contained within Digital Defense's SWAT program comprise five phases:
